1. Definitions

• "Company", "We", "Us", "Our" — kinaree Sync, registered in Thailand at 210/3 Phahonyothin Road, Chatuchak, Bangkok 10900.
• "Client", "You" — the individual or organisation accessing our website or engaging our services.
• "Services" — AI Readiness Assessment, Custom AI Workflow Integration, Employee AI Fluency Training, and any related consulting or advisory work.
• "Agreement" — these Terms & Conditions, together with any signed scope of work or service agreement.
• "Content" — all materials, reports, documentation, and deliverables produced by kinaree Sync as part of a service engagement.

2. Acceptance of Terms

By using our website or engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of an organisation, you confirm you have authority to bind that organisation to these terms.

Continued use of our website or services after we post changes to these terms constitutes acceptance of the updated terms.

3. Service Description

kinaree Sync provides AI consulting and training services to organisations operating in Thailand and the broader Southeast Asian region. Services are described in detail on our website and in individual scopes of work agreed prior to each engagement.

We reserve the right to decline or discontinue services at our discretion, including where an engagement falls outside our capability or presents a conflict of interest. Service availability is subject to team capacity.

4. User Responsibilities

When using our website or engaging our services, you agree to:

• Provide accurate and complete information when requested
• Not use our website for any unlawful purpose or in a way that infringes the rights of others
• Not attempt to gain unauthorised access to our systems
• Cooperate reasonably during service engagements, including providing access to necessary information and personnel
• Respect the confidentiality of any proprietary methods, tools, or processes we share during engagements

5. Intellectual Property

All original content on the kinaree Sync website — including text, design, and code — is owned by or licensed to kinaree Sync. You may not reproduce, redistribute, or create derivative works without our written permission.

For client engagements: deliverables specified in a signed scope of work (such as assessment reports and documentation) are transferred to you upon full payment. Proprietary methodologies, frameworks, and tooling developed by kinaree Sync remain our intellectual property and are licensed to you on a non-exclusive basis for the purpose of the engagement.

Pre-existing client IP remains your property. We do not claim ownership of data or systems you share with us during an engagement.

6. Payment Terms

Payment terms are specified in each individual scope of work. General terms unless otherwise agreed:

• 50% deposit required before work commences on any engagement
• Remaining balance due within 14 days of final deliverable
• All prices are in Thai Baht (฿) and inclusive of any applicable VAT
• Bank transfer is the accepted payment method unless otherwise agreed

Refund policy for services: Due to the consultancy nature of our work, deposits are non-refundable once work has commenced. If we cancel an engagement at our initiative before commencement, any deposit will be returned in full within 14 days.

7. Confidentiality

Both parties agree to treat as confidential any proprietary or sensitive information shared during an engagement. kinaree Sync will not disclose client data, business information, or system details to any third party except as required to deliver the service or as required by law. A separate non-disclosure agreement can be signed upon request.

8. Disclaimers

Our website and services are provided in good faith based on professional experience and current understanding of AI tools and methodologies. We do not warrant that:

• Any AI integration will produce specific business outcomes or financial returns
• Training programs will produce specific individual or organisational performance outcomes
• Our website will be error-free or available without interruption

Recommendations made in assessment reports are based on conditions at the time of the engagement and should be treated as advisory, not definitive.

9. Limitation of Liability

To the maximum extent permitted by Thai law, kinaree Sync's total liability for any claim arising from our services is limited to the fees paid by you for the specific engagement giving rise to the claim.

We are not liable for indirect, consequential, incidental, or special damages including lost profits, data loss, or business interruption, even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless kinaree Sync and its team members from any claims, losses, or expenses arising from your misuse of our services, breach of these terms, or violation of any third-party rights in connection with an engagement.

11. Termination

Either party may terminate a service engagement by providing written notice. In the event of termination:

• You are liable for fees corresponding to work completed at the point of termination
• Deliverables completed will be provided upon receipt of outstanding payment
• Confidentiality obligations survive termination

We may terminate immediately for cause if you breach material terms of the agreement or act in a way that compromises our team or systems.

12. Dispute Resolution

These terms are governed by the laws of the Kingdom of Thailand. In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice.

If informal resolution is not reached, disputes will be submitted to the jurisdiction of the Thai courts in Bangkok.

13. General Provisions

• Entire agreement: These terms, together with any signed scope of work, constitute the entire agreement between us regarding the subject matter.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
• Waiver: Our failure to enforce a right does not constitute a waiver of that right in future instances.
• Assignment: You may not assign your rights or obligations under these terms without our written consent.
